Finwire about Mendole A/S: Mendole acquires Rebo – raises pro forma forecast for 2026

Danish installation company Mendole has entered into a conditional agreement to acquire installation and renovation company Rebo for a maximum purchase price of 136.5 million Danish kroner. The transaction is expected to be completed before September 15, according to a press release.Rebo had sales of approximately 143 million Danish kroner in 2025 and reported EBITDA of 23.7 million. The company has around 73 employees and will continue to operate as an independent subsidiary."Rebo brings significant economies of scale and a profitable, well-managed business to the group and is an important step in our buy-and-build strategy in the Danish market for technical property services," says Dan Lauritzen, CEO of Mendole.The acquisition will be financed through a combination of loans and a directed new share issue followed by a public offering. The fixed purchase price amounts to 60 million Danish kroner, of which 42 million will be paid in cash, 6 million in newly issued Mendole shares and 12 million through a seller loan. In addition, an earn-out payment of up to 60 million Danish kroner may be paid based on Rebo's results in 2026 and 2027.In connection with the transaction, Mendole raises its pro forma forecast for 2026. The company now expects sales of 300–350 million Danish kroner and EBITDA of 30–40 million Danish kroner, compared with the previous standalone forecast of 125–155 million and 6–8 million Danish kroner, respectively.
